These Terms & Conditions ("Terms") govern access to and use of the OneSphere Property Management website, software platform and related services ("Service"). By creating an account, accessing the Service or using the Service on behalf of an organization, you agree to these Terms.
1. Business Service
OneSphere is a software-as-a-service property management platform intended for authorized business use. The Service provides tools for property, landlord, tenant, lease, maintenance, payment, employee, document, notification and reporting workflows.
2. Accounts and Authorized Users
Customers are responsible for ensuring that account information is accurate and that only authorized personnel receive access. Users must protect passwords and other authentication credentials and must promptly report suspected unauthorized access.
3. Customer Responsibilities
- Use the Service only for lawful business purposes.
- Maintain appropriate authority to collect, enter and process information in the Service.
- Configure roles and permissions appropriately.
- Comply with applicable property-management, housing, employment, tax, financial, privacy and consumer-protection laws.
- Maintain the accuracy of customer-controlled information.
4. Prohibited Use
You may not use the Service to violate law, infringe rights, gain unauthorized access, distribute malware, interfere with service availability, attempt to circumvent security controls, scrape restricted information, or use the Service in a manner that creates unreasonable security or operational risk.
5. Customer Data
Customers retain their rights in data they submit to the Service. Customers authorize OneSphere and its service providers to process that data as necessary to provide, secure, maintain and support the Service.
6. Availability and Changes
We work to provide a reliable service but do not guarantee uninterrupted or error-free availability. Features may be changed, improved, replaced or discontinued as the platform evolves. Planned maintenance, emergency maintenance, third-party outages and circumstances beyond our control may affect availability.
7. Fees and Subscriptions
Paid subscriptions, fees, billing periods, taxes, renewal terms and cancellation terms will be described in the applicable order, subscription page or customer agreement. Customers are responsible for charges associated with their selected plan and authorized usage.
8. Third-Party Services
The Service may integrate with third-party cloud, identity, communications, payment, analytics or other services. Availability and operation of third-party services are subject to their own terms and may change independently of OneSphere.
9. Intellectual Property
OneSphere and its licensors retain all rights in the Service, including software, user-interface designs, documentation, trademarks and other proprietary materials, except for customer-owned data and third-party materials.
10. Confidentiality
Each party should protect non-public confidential information received from the other party using reasonable care and use such information only for purposes associated with the Service, except where disclosure is required by law or authorized by the disclosing party.
11. Disclaimer
The Service is a technology platform and does not provide legal, tax, accounting, real-estate brokerage or other licensed professional advice. Customers remain responsible for their business decisions, legal compliance, lease documents, notices, financial practices and interactions with landlords, tenants, employees and vendors.
12. Limitation of Liability
To the maximum extent permitted by applicable law, liability relating to the Service may be limited as stated in the applicable customer agreement. Some jurisdictions do not permit certain exclusions or limitations, so particular limitations may not apply in every case.
13. Suspension or Termination
Access may be suspended or terminated for material breach, unlawful use, security risk, nonpayment where applicable, or as otherwise permitted by the applicable subscription or customer agreement. Customers remain responsible for obligations incurred before termination.
14. Governing Terms and Local Law
Additional regional, customer-specific or order-form terms may apply. Nothing in these Terms is intended to waive rights or obligations that cannot lawfully be waived under applicable law.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be published with an updated effective date and, where appropriate, additional notice.
